1. Agreement
By engaging Green Circuit AI Web Solutions (Green Circuit, we, us) or using any website we manage, you (the Client) agree to be bound by these Terms of Service. These terms constitute a binding agreement between the Client and Green Circuit.
If you do not agree to these terms, do not use our services.
2. Services
Green Circuit provides website design, development, hosting, AI lead management, SEO, content generation, and related digital services as described in our packages or custom proposals.
Service scope is defined at the time of engagement. Any changes to scope may result in revised pricing, which will be communicated and agreed upon before work begins.
3. Setup and Onboarding
Setup fees are charged once at the commencement of the engagement and are non-refundable once work has begun. The setup fee covers design, development, configuration, and initial launch of your website and associated tools.
The Client is responsible for providing accurate business information, branding assets, and timely feedback during the onboarding process. Delays caused by the Client may affect launch timelines.
4. Monthly Fees and Payment
Monthly fees cover hosting, maintenance, AI system operation, and any ongoing services included in your chosen package. Fees are billed monthly in advance.
- Payment is due within 7 days of invoice
- Late payment may result in suspension of services
- All fees are quoted in ZAR and exclude VAT unless stated otherwise
- Domain registration and transfer costs are excluded from all packages
- Green Circuit reserves the right to adjust monthly fees with 30 days written notice
5. Cancellation
Either party may cancel the monthly service agreement with 30 days written notice. Notice must be submitted by email to info@greencircuit.co.za.
Upon cancellation:
- Services will remain active until the end of the 30-day notice period
- No refund is issued for the notice period already paid
- The Client will receive an export of their website content upon request
- Domain names registered by Green Circuit on behalf of the Client will be transferred to the Client upon request and settlement of any outstanding balance
6. Hosting and Uptime
Green Circuit provides hosting as part of all monthly packages. We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages, or force majeure events may result in temporary unavailability.
Green Circuit is not liable for losses arising from hosting downtime beyond our reasonable control.
7. AI Services and Content
AI-generated content (blog posts, lead responses, social posts) is produced automatically and reviewed periodically. The Client is responsible for reviewing AI-generated content and notifying Green Circuit of any corrections required.
Green Circuit does not warrant that AI-generated content is always accurate, complete, or suitable for every purpose. The Client accepts that AI systems may occasionally produce imperfect output.
8. Intellectual Property
Upon full payment of the setup fee and while monthly fees are current, the Client has a licence to use the website and content produced by Green Circuit for their business purposes.
The Client retains ownership of their own branding, logos, and content provided to Green Circuit. Green Circuit retains ownership of its underlying systems, templates, code, and AI tooling.
9. Limitation of Liability
Green Circuit is not liable for any indirect, incidental, or consequential losses arising from the use of our services, including but not limited to loss of revenue, loss of data, or reputational damage.
Our total liability in any matter is limited to the fees paid by the Client in the three months preceding the claim.
10. Governing Law
These terms are governed by the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of South Africa.
11. Changes to These Terms
Green Circuit may update these terms from time to time. Clients will be notified of material changes by email or via our website. Continued use of services after notification constitutes acceptance of the updated terms.
